ThisLoanAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[LendersFullLegalName],a[LendersStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[LendersAddress](theLender),and[BorrowersFullLegalName],anindividualresidingat[BorrowersAddress](theBorrower).

WHEREAS,theLenderiswillingtolend,andtheBorrowerisinneedofandwillingtoborrow,theprincipalamountof[Amount](theLoanAmount)onthetermsandconditionssetforthinthisAgreement.

WHEREAS,theBorrowerhasrequestedthattheLenderprovidealoantotheBorrowerintheamountof[Amount]forthepurposeof[PurposeofLoan],andtheLenderhasagreedtoprovidesuchloan.

WHEREAS,thepartiesheretodesiretosetforththetermsandconditionsuponwhichtheLenderwillmaketheLoantotheBorrower.

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.Definitions:

-DisbursementDatemeansthedateonwhichtheLenderdisbursestheLoanAmounttotheBorrower.

-InterestRatemeans[InterestRate]%perannum.

-LoanMaturityDatemeans[LoanMaturityDate].

-LoanPaymentmeansthepaymentmadebytheBorrowertotheLenderpursuanttoSection2hereof.

-PrepaymentFeemeans[PrepaymentFeePercentage]%oftheoutstandingprincipalamountbeingprepaid.

-RepaymentSchedulemeansthescheduleattachedheretoasExhibitA,whichsetsforththedatesandamountsoftheLoanPayments.

2.LoanandInterest:

-TheLenderagreestolendtotheBorrower,andtheBorroweragreestoborrowfromtheLender,theLoanAmountonthetermsandconditionssetforthinthisAgreement.TheLoanAmountshallbedisbursedtotheBorrowerontheDisbursementDate.
