EnglishLoanAgreement

ThisLoanAgreementismadebetweenABCBank(hereinafterreferredtoastheLender)andXYZCorporation(hereinafterreferredtoastheBorrower).

1.LoanAmountandTerms

TheLenderagreestolendtotheBorrowerthesumofOneMillionUnitedStatesDollars(US$1,000,000)foraperiodoftwoyears,fromthedateofthisAgreementtothedatetwoyearshence.

2.InterestRateandPayment

Theloanshallbearinterestatarateoffivepercent(5%)perannum,payablequarterlyinadvanceoneachanniversarydateoftheloan.Thefirstinterestpaymentshallbemadeonthefirstanniversarydateoftheloan.

3.SecurityforLoan

TheBorrowershallprovidesecurityfortheloanintheformofamortgageonitsassets,toberegisteredwiththerelevantauthoritieswithinonemonthofthedateofthisAgreement.Themortgageshallbereleaseduponfullrepaymentoftheloanandinterest.

4.UseofLoanProceeds

TheBorrowershallusetheloanproceedssolelyforthepurposeofexpandingitsbusinessoperations.TheLendershallhavetherighttomonitortheuseoftheloanproceedsbytheBorrower.

5.RepaymentofLoan

TheBorrowershallrepaytheloaninfullonthematuritydate,togetherwithallunpaidinterestandcharges.RepaymentshallbemadebywiretransfertotheLendersdesignatedaccount.

6.DefaultinRepayment

IntheeventofdefaultbytheBorrowerinrepayingtheloan,theLendershallhavetherighttodemandimmediaterepaymentoftheentireloanamount,togetherwithallunpaidinterestandcharges.TheLendermayalsolevyadditionalchargesforlatepayment.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofCountryX,withoutregardtoitsconflictoflawprovisions.TheBorrowerandtheLenderherebysubmittotheexclusivejurisdictionofthecourtsofCountryX.
