内容提要担保合同中当事人预先达成的债务履行期届满而债权未受清偿时担保物的 内容提要 担保合同中当事人预先达成的债务履行期届满而债权未受清偿时担保物的 所有权便归债权人所有的特约条款，在质押合同中称为流质条款，在抵押合同中 称为流押条款。本文所用的“流担保条款’’是流质条款和流押条款的统称。 自罗马法禁止流担保条款以来，大陆法系诸国多继受此规定，我国《担保法》 基于立法上的继受关系，也规定了流担保条款禁止规则。在《物权法》出台前， 尽管有学者撰文主张承认流担保条款的效力，但终究未被《物权法》所采纳。 然而，通观各国禁止流担保条款的理由，多显简单牵强，很有检讨和反思的 必要。事实上，法国、德国、瑞士和日本等国的民法学者都在判例和学说上展开 了对流担保条款禁止规则的检讨，甚至在一些国家的立法中也出现了新动向。 基于以上理由，本文试图采取比较分析方法、历史考察方法、价值分析方法、 系统论方法等展现流担保条款的立法模式：检讨流担保条款禁止之规定；论证允 许流担保条款存在的价值意义及其可行性和必要性：探讨流担保条款完善的路 径，以期对发展和完善《物权法》的相关规则有所裨益。 文章分为三个部分，第一部分在总结流担保条款立法模式的基础上，检讨流 担保条款禁止之规定；第二部分论证承认流担保条款的法理基础与现实条件；第 三部分探讨流担保条款之完善路径。 关键词：流担保条款立法模式禁止规定完善路径 AbstractThe Abstract The special items engaged by the party in advance，which mean that the secured creditor will attain the ownership of the engaged collateral when the debtor Can’t pay off the due debt，be called liquid substance item in the hypothecation contract and flow escort item in the mortgage contract．”The fluidity item”that this paper uses is a general designation of the liquid substance item and the flow escort item to． Since the fluidity item was forbid by the Roman law，many continental law legal system countries follow this provision，and use up to now as its consensus rule．Our country’S guarantee law also prohibit the fluidity item according to lawmaking relation．Before the real law was set，some scholars write paper to claim the acknowledgement of the fluidity item，but wasnt be accepted finally． However,all countries’reasons for the prohibition of the fluidity item，show simply and lack of persuasion．There have much of necessity to analyzing and reviewing．In fact，in France，Germany，Switzerland and Japan etc．，some civil law scholars unfurl self-criticism with the prohibition of the fluidity item on the judicial precedent and the theory，even also appearing some new trend on the lawmaking in some nations．It is a regret that our country’S real law have no conformance to flow the development trend of the fluidity item and still prohibit the fluidity item． According to the ab
