ThisCommissionAgreement(Agreement)isenteredintoasof[Date],between[PrincipalsName],a[PrincipalsBusinessType]locatedat[PrincipalsAddress],(Principal),and[AgentsName],a[AgentsBusinessType]locatedat[AgentsAddress],(Agent).

REPRESENTATIONSANDWARRANTIES:

1.1ThePrincipalrepresentsandwarrantsthatitisalegallyestablishedentitywiththeauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

1.2TheAgentrepresentsandwarrantsthatitisalegallyestablishedentitywiththeauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

1.3ThePrincipalandAgenthaveread,understand,andagreetobeboundbythetermsandconditionsofthisAgreement.

TERMANDTERMINATION:

2.1ThetermofthisAgreementshallcommenceonthe[Date]andshallcontinueforaperiodof[TermDuration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.2EitherpartymayterminatethisAgreementupon[NoticePeriod]priorwrittennoticetotheotherparty,providedthatsuchterminationshallnotrelievetheterminatingpartyofanyobligationsincurredpriortotheeffectivedateoftermination.

2.3UponterminationofthisAgreement,thepartiesshallpromptlyandfullydischargealloutstandingobligationsandrightsunderthisAgreement.

COMMISSIONS:

3.1SubjecttothetermsandconditionsofthisAgreement,theAgentshallbeentitledtoreceiveacommission(Commission)onallsalesof[PrincipalsProduct/Service]resultingfromtheAgentsefforts.

3.2TheCommissionshallbecalculatedasfollows:

3.3TheAgentshallprovidethePrincipalwithadetailedstatementofsalesandcommissionsduewithin[NumberofDays]aftertheendofeach[ReportingPeriod].

3.4ThePrincipalshallpaytheCommissiontotheAgentwithin[NumberofDays]afterthereceiptoftheAgentsstatement.

3.5Intheeventofanydi
