COMMISSIONAGREEMENT

I.Parties

ThisAgreementismadeon[date],between[nameoftheprincipal],hereinafterreferredtoasthe“Principal”,and[nameoftheagent],hereinafterreferredtoasthe“Agent”.

II.ScopeofAgreement

1.ThePrincipalandAgentherebyagreethattheAgentshallactasasalesagentforthePrincipalinthepromotionandsaleof[descriptionoftheproductorservice]tocustomerslocatedinthe[specifiedterritoryormarket].

2.TheAgentshallhavetherighttorepresentthePrincipalandbindthePrincipaltocontractswithcustomersintheterritoryormarketspecifiedinClause2.1,subjecttothetermsandconditionssetoutinthisAgreement.

3.ThePrincipalshallhavetherighttoterminatethisAgreementatanytime,foranyreason,uponwrittennoticetotheAgent.

III.Commission

1.TheAgentshallbeentitledtoacommissiononeachsaleoftheproductorservicespecifiedinClause2.1,attherateof[percentageorfixedamount]ofthegrosssalesvalueofeachsuchsale.

2.ThecommissionshallbepaidbythePrincipaltotheAgentuponreceiptofpaymentfromthecustomerfortherelevantsale.

3.InadditiontothecommissionreferredtoinClause3.1,theAgentmayalsobeentitledtootherincentivesorbenefitsasmaybeagreedbetweenthePrincipalandAgentfromtimetotime.

IV.Expenses

1.TheAgentshallberesponsibleforallexpensesincurredinconnectionwiththeperformanceofthisAgreement,includingbutnotlimitedtotravel,accommodation,andothercostsassociatedwithrepresentingthePrincipalandbindingcontractswithcustomers.

2.ThePrincipalshallreimbursetheAgentforanyreasonableexpensesincurredbytheAgentinconnectionwiththeperformanceofthisAgreement,uponreceiptofwrittenevidenceofsuchexpensesfromtheAgent.

V.Termination

1.ThisAgreementmaybeterminatedbyeitherpartyatany
