华中科技大学硕士学位论文摘要 华中科技大学硕士学位论文 摘要 ，近年来，企业界和学术界有关提高组织绩效的研究举不胜举，但对于集团公司来 说，由于问题的复杂性，在集团内部各利益主体之间产品交换过程中，转移产品的定 价方式成为衡量各分(子)公司绩效时的关键性技术难题之一。 由于我国企业在集团化和公司化的过程中，过多的存在着非经济因素和非市场因 素，管理层对企业缺乏更深层次上的认识，因此企业内部滥用或误用转移定价的现象 十分严重，影响了激励机制的正常发挥，甚至导致内部矛盾丛生，并对集团内部资源 配置和经营决策产生重大影响，降低了集团整体价值。反映到资本市场上，操纵公司 利润、粉饰财务报表的现象屡见不鲜，导致信号的错误传递，误导了投资者、债权人 和一般公众，损害了资本市场资源配置的功能。 r 7“ 本文从交易成本理论的角度，以提高集团整体绩效为目标，探讨企业集团转移价 格问题，提出了以提高集团整体绩效为目标的转移定价模型，为集团降低企业交易成 本，提高企业整体价值提供理论支持和决策思路。 《传统的转移价格问题研究主要集中于对转移定价的技术问题的探讨，在市场价格 、 ，≯—，r一 和企业各类成本之间寻求用于衡量各分部实际业绩的满意解。7实际上，企业集团作为 一个可持续发展的整体，转移价格已成为集团战略中不可分割的一部分，转移价格问 题的解决必须以系统的思想，从集团长期发展和内部资源利用最大化的角度予以审 视，从而实现规避风险、实现集团整体利益最大化的目标。从技术角度来说，中间产 品的边际收入线，由中间部门的销售决策形成；中间产品的边际成本线，由后续加工 部门的采购决策形成，当边际收入等于边际成本时，可以确定集团最佳产销规模并找 到转移价格的均衡点；从集团战略角度来看，必须辅以集团的管理模式调整、内控机 制的调整和企业流程的重组。 关键词：企业集团 组织绩效 转移价格 ～ 华中科技大学硕士学位论文Abstract 华中科技大学硕士学位论文 Abstract Transfer pricing is the core problem of related transactions．Improper use the transfer pricing will lead tO lots ofinterior confllets and reduce the value ofcompany． In this paper,we study the problem of transfer pricing of the corporation groups with the transaction costs perspective in order tO improve the overall profitability ofthe firm．In the other hand，we discuss the economic basis of internal transfer pricing mechanism underlying decentralized management of corporation groups，and demonstrates the reasonable internal application of transfer pricing in decentralized groups based on transaction cost theory．According to the characteristics of corporation groups of china and the theories of microeconomics and the practices of OUIcountry’S tax law,We build a model to interpret how to set transfer pricing，With this model，corporation groups could obtain the theories support and method of decision．Wc also analyses all kind of factors to affect the transfer pricing and this would heIp US understand the process of setting transfer prcing． Usually,there are two sorts ofways tO study订ansfer pricing，the firSt being theoretical and the second emp
