1.ConfidentialInformation

1.1PartyBmaybeexposedtoconfidentialinformation(hereinafterreferredtoasConfidentialInformation)ofPartyAinthecourseofperforminghis/herdutiesforPartyA.ConfidentialInformationmayinclude,butisnotlimitedto,PartyAsbusinessplans,financialstatements,customerlists,vendorlists,employeerecords,andanyotherinformationthatPartyAdeemsconfidential.

1.2PartyBagreesthathe/shewillnotdiscloseanyConfidentialInformationtoanythirdpartywithouttheexpresswrittenconsentofPartyA.ThisincludesdisclosingConfidentialInformationtoanypersonorentityoutsideofPartyA,whetherforpersonalgainorotherwise.

2.Non-DisclosureandNon-Use

2.1PartyBagreesthathe/shewillnotuseanyConfidentialInformationforhis/herownpersonalgainorbenefit,orforthebenefitofanythirdparty,withouttheexpresswrittenconsentofPartyA.ThisincludesusingConfidentialInformationtoengageinanyactivitythatiscompetitivewithPartyAsbusinessorthatcouldpotentiallyharmPartyAinanyway.

2.2PartyBacknowledgesthatthedisclosureormisuseofConfidentialInformationcouldhaveasignificantnegativeimpactonPartyAsbusinessandreputation.PartyBagreesthathe/shewilltakeallreasonableprecautionstoprotecttheconfidentialityoftheConfidentialInformationandtopreventitsdisclosureormisuse.

3.ReturnofConfidentialInformation

3.1Upontheterminationofhis/heremploymentwithPartyA,oratanyothertimewhennolongerrequiredtoperformhis/herdutiesforPartyA,PartyBagreesthathe/shewillimmediatelyreturnto
