Description/Purpose: This document is to be used when *** or a subsidiary of *** desires to enter into an agreement in which both parties to the agreement will be disclosing confidential information. There are separate forms available if *** will only receive or will only disclose confidential information. Please use the appropriate form. These documents may or may not be appropriate for your specific transaction. Contact your *** designated attorney if you have questions regarding the use of these documents and, in all cases, before signing. Bracketed wording indicates required information to be inserted in the agreement. PLEASE NOTE, even with this agreement in place, *** personnel should never disclose *** trade secrets.
