SALESCONTRACT

I.PREAMBLE

Uponthetermsandconditionsstatedbelow,Selleragreestosell,andBuyeragreestopurchasetheproductsspecifiedinthisContract.

II.PRODUCTSANDQUANTITY

III.PRICEANDPAYMENT

1.Price:ThetotalpricefortheProductsshallbe[TotalPrice].Allcosts,charges,andexpensesrelatedtotheProductsshallbebornebytheBuyer.

2.Payment:PaymentshallbemadeinfulluponconclusionofthisContract.TheSellershallprovideavalidinvoicetotheBuyerforpayment.

IV.DELIVERYANDACCEPTANCE

2.Acceptance:UponreceiptoftheProducts,theBuyershallinspectthemimmediatelyandnotifytheSellerofanydefectsordiscrepancieswithin[X]daysofreceipt.

V.QUALITYANDWARRANTY

1.Quality:TheProductsshallbeofhighqualityandinaccordancewiththespecificationsstatedinthisContract.

2.Warranty:SellerguaranteesthattheProductsarefreefromdefectsinmaterialandworkmanshipforaperiodof[WarrantyPeriod].

VI.FORCEMAJEURE

IfperformanceofthisContractisprevented,restrictedordelayedduetoanycausebeyondthereasonablecontroloftheparties,includingbutnotlimitedtoactofwar,earthquake,fire,flood,explosion,epidemics,oranyothersimilaroccurrence,theaffectedpartyshallnotifytheotherpartypromptlyandusereasonableeffortstomitigatetheeffectsofsuchoccurrenceonperformanceofitsobligationsunderthisContract.

VII.CONFIDENTIALITY

Bothpartiesshallkeepconfidentialallinf
