SALESCONTRACT

ThisSalesContractismadeon[date],between:

I.GeneralTermsandConditions:

1.ScopeofContract:ThiscontractoutlinesthetermsandconditionsofsalebetweentheSellerandtheBuyerfortheproductlistedinAnnexA.

2.ContractValidity:Thiscontractshallbevalidfromthedateofsigninguntilthedateofcompletionofthetransactionasoutlinedbelow.

3.DeliveryandPayment:ThetermsofdeliveryandpaymentareoutlinedinAnnexB.Anyamendmentstothesetermsmustbemutuallyagreeduponbybothparties.

II.ProductDescription:

TheproducttobesoldisdescribedinAnnexA,includingitsspecifications,quality,quantity,andpricing.

III.TermsofSale:

1.TheSellerconfirmsthereceiptofthepurchaseorderfromtheBuyerandagreestosupplytheproductspecifiedinAnnexA.

2.TheSellerguaranteesthequalityandspecificationsoftheproductasstatedinAnnexA.Anydiscrepanciesfromtheagreedspecificationswillberesolvedinaccordancewiththetermsofthiscontract.

3.TheBuyeragreestopayfortheproductaccordingtotheagreedpaymenttermsoutlinedinAnnexB.

IV.DeliveryandShipment:

1.TheSellershallensuretimelydeliveryoftheproducttotheBuyersdesignatedlocation.AnydelayshallbepromptlynotifiedtotheBuyer.

2.TheriskoflossordamagetotheproductshallpasstotheBuyerupondeliveryatthedesignatedlocation.

V.WarrantyandReturns:

1.TheSellerguaranteesthattheproductisfreefromdefectsinmaterialandworkmanshipforaperiodof[insertduration]fromthedateofdelivery.

2.Ifanydefectsarefoundduringthewarrantyperiod,theSellershall,atitsoption,replaceorrepairtheproductfreeofcharge.

3.ReturnswillbeacceptedonlyifauthorizedbytheSellerandreturnedinaccordancewiththeproceduresoutlinedinAnnexC
