董事会在公司治理中的地位及作用 The board of directors’ status and role at the company’s governance 【摘要】公司治理是现代企业制度的核心，董事会是公司治理的关键。上市 公司的董事会存在着董事会成员来源单一、结构不合理、缺乏独立性；董事会的许多职权受到限制，董事会职能虚化的问题。这样直接地影响到董事会在公司治理中的权利以及其发挥的作用。尽管如此，董事会在公司治理中展现的决定能力仍可体现董事会是公司治理的核心。董事会作为公司治理的重要组成部分，其治理机制的正常发挥是公司制度得以较好发挥作用韵中心课题和重要保障。董事会是公司治理结构的核心，是关系到公司长远发展与广大股东利益的关键所在。因此应加强董事会的治理。 【Abstract】Corporate governance is the core of modern enterprise system, the board of directors is the key to corporate governance.
