安徽医科大学 人 文 学 院 本 科 毕 业 论 文 （2010 级） 合伙企业的法律地位研究 专 业： 医事法学 学 号： 1021150015 学生姓名： 季益青 指导教师： 杨 芳 完成日期： 2014.5.01 合伙企业的法律地位研究 摘 要 随着现代市场经济的不断发展，越来越多的经济主体开始出现。合伙企业因其自身的诸多优势受到越来越多的人的青睐。并且合伙企业的制度和法律也愈加成熟和完善。然而关于合伙企业的法律地位在理论界和实务界一直争论不休。这对合伙企业本身的发展以及对合伙人和市场主体的合法权益的保护都受到限制，随着经济全球化的加剧，法律也日益呈现出全球化的趋势，英美法系和大陆法系逐渐出现融合现象，而各国关于合伙的规定也日渐趋于一致，为了顺应时代的潮流，促进经济的发展，法律的完善，有必要对合伙的法律地位有个更加清晰明了的认识。 本文主要从合伙的起源和发展、成为法律关系主体的条件、目前我国法律对合伙的规定、国际上两大法系对合伙的认定以及合伙自身的一些特点和优势来研究合伙企业的民事法律地位。 关键词：合伙企业;法律关系主体;合伙企业法 Research on the legal status of partnership enterprises Abstract With the continuous development of modern market economy, more and more economic main body began to appear. Partnership enterprises are more and more popular because of its advantages. And the system and law of partnership enterprises becomes more and more mature and perfect.However, the legal status of partnership in the theory circle and practice circle have been arguing. The development of the partnership enterprise itself and the legal rights of the partners and the market main body are limited, with the development of economic globalization, the law also increasingly showing the trend of globalization, the Anglo American law system and continental law system countries appear gradually fusion phenomenon, and the provisions on partnership has become more consistent, in order to conform to the trend of the times, to promote economic development, improve the law, it is necessary to have a more clear understanding of the legal status of partnership. Civil legal status in this paper, mainly from the origin and development of partnership, become the legal relationship main body condition, chinas law on partnership regulation now,determination of the two legal systems of international partnership,and some of their own characteristics and advantages of a partnership.
