学校代码： 10128学 号： 200830712023 学校代码： 10128 学 号： 200830712023 本科毕业论文 本科毕业论文 题 目：从国美股权之争看我国上市 题 目：从国美股权之争看我国上市 公司公司治理问题 学生姓名：郭伯 学 院：管理学院 系 别：会计系 专 业：财务管理 班 级：08-2班 指导教师：长青教授 二 〇 一 二 年 六 月 摘 要 公司作为市场经济的基本单位，作为上世纪最伟大的组织创新，公司在推动生产力的发展和劳动关系的革新具有重大的意义，深刻改变了社会发展的轨迹，公司的发展和国民经济有密切关系。但是公司的发展也不是一帆风顺的，从国内国外爆出的公司治理实践说明在公司运行过程中存在着种种弊端，完善公司治理是各个公司首要解决的问题，同时公司治理结构作为公司制度的核心，它的好坏直接关系到公司的长久发展。上司公司作为具有典型特征和代表意义的组织形式，其治理水平更是牵动着国民经济的神经，可以说，现代公司是现代国家的缩影，因此无论从政治、经济还是社会角度都要对公司治理有足够的重视，并且采取切实的措施来规范公司制度，完善公司治理结构，当然，公司治理结构的完善不仅是公司内部的事，同时也是政府监管部门，公共资本市场和社会其他群体共同的责任，只有形成公司的全方位治理才有可能保证公司正确的发展方向。 我国上市公司出现的比较晚，在特殊的制度下有自身独特的治理方式，但是和西方发达国家相比，存在的缺陷较多，致使其在发展过程中问题不断，严重制约了他的良性发展，为了改变这种情况，应该在充分认识我国民营上司公司基本治理状况，借鉴他国的先进经验完善法人结构，以期在以后有良性的发展。 本文采用结论和案例相结合论述的方法，从公司治理结构角度出发，探讨我国上市公司治理的完善，首先公司治理的基本概念入手，介绍公司治理的基本概念，基本模式和对我国民营上市公司的启示明确公司治理结构的内涵和基本框架。然后通过对国美一系列事件，具体包括黄光裕事件和国美股权之争分析国美在公司治理方面存在内部问题和外部制度的问题和其原因，最后结和国美实际提出完善公司治理具体措施，最终实现公司的良性发展。 关键词： 公司治理 上市公司 国美 Abstract As the market economy basic units, as the last century s great organizational innovation, in promoting the development of productivity and the innovation of labor relations is of great significance, profound changes of the social development path, the development of the company and the national economy is closely related to.
