产业投资基金一种新型的投资工具.doc

摘 要 产业投资基金是一种新型的投资工具，是一种促进产业并支持经济发展的一种金融创新。中国的产业投资己取得了一定的进展，但总体上还处在初级阶段。我国政府己意识到产业投资基金的重要作用，并采用积极的措施促进产业投资基金在中国的发展。由于中国的法制环境、政策环境、经济环境等多方面原因的不健全，导致我国产业投资基金发展缓慢。因此笔者选择以中国产业投资基金的治理为研究对象。 本文综合运用法学、经济学的理论，采用比较分析和经济分析的方法，探讨了产业投资基金治理，并对我国产业投资基金治理的发展提出法律建议。本文除引言外，共分为三部分。 第一部分，产业投资基金治理基础理论分析。该部分中，第一，简要分析了产业投资基金的定义、特征、意义及发展；第二，分析了产业投资基金治理的定义，特点等；第三，分析了产业投资基金治理的基础理论，包括：产权理论及委托--代理理论。第四，在总结产业投资基金治理基础理论的基础上总结出对产业投资基金治理机制的评价标准。 第二部分，我国产业投资基金治理机制研究。在该部分中，运用产业投资基金治理机制的评价标准对我国产业投资基金治理机制的现状做了分析。 第三部分，我国产业投资基金治理存在的问题及法律完善。在该部分中，对我产业投资基金治理存在的不足，包括：法制环境、政策环境、经济环境等方面存在的问题。在这些问题中，最主要的问题的法律环境的缺位，本文提出了我国产业投资基金法律环境完善。 关键词：产业投资基金，治理，产业投资基金治理，法律完善 Abstract Industrial investment fund(IIF) is not only a new kind of investment instrument but also a kindof innovative financial system which can speed up industrial development and over all economic development. Chinese industry investment had made some progress but it is still in primary stage. Our government has realized the importance of IIF and has employed positive policies to promote IIF in China. As a result of our country legal system environment, the policy environment, the economic environment and so on the various reason is not perfect, causes the development of chinese IIF to be slow. Therefore the author chooses take the governmence of chinese IIF as the research object. The author uses legal science, the economic theory, the comparative analysis and the economic analysis method to discuss the governmence of chinese IIF, and proposes the legal advice to the development of the governmence of chinese IIF.
