INDONESIAN STEAM COAL This agreement made this date ……………….., …, between: 此合同由（以下简称卖方）和（以下简称买方）于 年 月（ ）共同签订： (hereinafter referred to as “SELLER”)(以下简称为卖方) and (Hereinafter referred to as “Buyer”).(以下简称为买方) DEFINITIONS 定义 In this Agreement unless the context otherwise requires: 在本协议中,除本合同上下文另有规定说明,否则术语分别定义如下: i “adb” means air dried basis. “adb”指空气干燥基 ii “ar” means as received basis. “ar”指收到基 iii “Bill of Lading” means the bill of lading issued by the vessel owner to the Seller in respect of the stated amount of Coal in a particular shipment. “提单”指承运方(船方)承运货物时签发给发货方(卖方)关于动力煤定量运输的特定船次的定单。 iv “Business Day” means the period between the hours of 8am to 4pm on a day other than Saturday, Sunday or any public holidays. “营业日”指星期一至星期五上午8点到下午4点的工作时间,公共假日除外 v “Delivery Point” means the free on board vessel at the Loading Port. “交货地点”指FOB装运港 vii “Dispatch” means the charge payable in the event the Seller completes loading the ship before the end of Laytime. “速遣费”指卖方在装卸货物时间内完成装货或卸货所应支付的费用 ix “Kcal/Kg” means kilocalories of energy per kilogram of coal. “Kcal/Kg”指每千克动力煤的发热量(千卡) x “Laytime” means the time allowed for loading a vessel, calculated in accordance with clause 9. “装卸期”指允许装卸的时间,货物装载到船上,将以第9条做为装卸时间计算 xi “USD” means (unless otherwise specified) the currency of United States of America. “美元”指(除非另有规定)美国美元 xii “Party” or “Parties” means Seller or Buyer or Both. “Party” or “Parties”指卖方和买方 xiii “Tonne” means a metric tonne of 1000 kilograms.
