?ThisConsultingAgreement(theAgreement)ismadeandenteredintoasof[date]byandbetween[CompanyName],a[typeofentity]organizedandexistingunderthelawsof[state/country]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoasClient),and[ConsultantName],anindividualwithaprincipalplaceofbusinessat[address](hereinafterreferredtoasConsultant).

##1.Engagement

1.1ScopeofServices

Consultantshallprovideconsultingservices(theServices)toClientinconnectionwith[describethegeneralareaofconsulting,e.g.,businessstrategy,marketing,technologyimplementation]asmoreparticularlydescribedinExhibitAattachedhereto(theScopeofServices).ConsultantshalluseitsbesteffortstoperformtheServicesinaprofessionalandtimelymanner,inaccordancewiththeindustrystandardsandpracticesapplicabletosuchServices.

1.2Deliverables

ConsultantshalldelivertoClientthefollowingdeliverables(theDeliverables)inaccordancewiththeschedulesetforthinExhibitBattachedhereto:

(a)[Listthefirstdeliverable,e.g.,aninitialbusinessanalysisreport];

(b)[Listtheseconddeliverable,e.g.,aproposedmarketingplan];

(c)[Continuelistingallrelevantdeliverables].

##2.Compensation

2.1FeeStructure

ClientshallpayConsultantatotalfeeof[amount](theFee)fortheServicesprovidedhereunder.TheFeeshallbepaidinthefollowinginstallments:

(a)Aninitialpaymentof[amount](theInitialPayment)shallbemadewithin[numberofdays]daysaftertheexecutionofthisAgreement.

(b)Asecondpaymentof[amount](theSecondPayment)shallbemadeuponthedeliveryofthe[describethedeliverabletriggeringthesecondpayment]Deliverable.

(c)TheremainingbalanceoftheFee,intheamountof[amount](theFinalPayment),shallbemadewithin[numberofdays]daysaftertheacceptanceofallDeliverablesbyCl
