ScopeofRepresentation:

1.Negotiatingcontractsandagreements.

2.Providingadviceandguidanceonlegalissues.

3.Draftingandreviewinglegaldocuments.

4.RepresentingthePrincipalincourtorarbitrationproceedings,ifnecessary.

AgentsDuties:

1.DutyofCare:TheAgentshallexercisereasonablecareandskillinperformingtheirdutiesunderthiscontract.

2.DutyofLoyalty:TheAgentshallactinthebestinterestsofthePrincipal,avoidinganyconflictofinterest.

3.DutytoKeepInforme:TheAgentshallkeepthePrincipalinformedoftheprogressofthematterandanymaterialchangesthatmayaffectthePrincipalsinterests.

4.DutytoReturnProperty:Uponterminationofthiscontract,theAgentshallreturntothePrincipalallproperty,documents,andothermaterialsintheirpossessionthatbelongtothePrincipal.

PrincipalsResponsibilities:

1.PaymentofFees:ThePrincipalagreestopaytheAgentsfeesasagreeduponinwritingbybothparties.

2.CooperationwithAgent:ThePrincipalshallcooperatewiththeAgentinallmattersrelatedtotheperformanceofthiscontract,providingnecessaryinformationandassistancewhenrequested.

3.IndemnificationofAgent:ThePrincipalagreestoindemnifyandholdharmlesstheAgentfromanyclaims,damages,orlossesarisingoutoftheAgentsperformanceo
