摘要

上市公司股利分配活动属于企业利润分配的一个环节，是企业财务活动中的一项重要环节。一项股利政策是否适合该公司，对企业的长远发展以及股东对投资回报的要求都会产生影响，同时这也关系到我国资本市场的健康成长。对于股利的分配，一方面与公司债权人的当期利益相挂钩，另一方面是其一定程度上决定了公司的未来发展。在此情况下，选择一项符合公司发展的股利政策尤为重要。由于我国的市场经济起步晚，经济体制的多样化，法律法规的不健全等原因，所以我国上市公司股利政策在制定方面仍有不足需要解决。于是，经过多方面解析上市公司股利政策存在的问题，对我国的资本市场的长期健康发展具有重要意义。

本文以我国家电行业具有代表性的D公司为样本，通过深入调查D公司股利政策选择的现状及存在的主要问题，由此展现我国企业股利政策的发展状况。运用相关理论及其影响因素探讨上市公司股利政策选择的原则及要求，根据总结出来的现状提出合理的建议及解决措施，为促进我国资本市场的健康发展出一份力。

Dividenddistributionactivitiesoflistedcompaniesbelongtoalinkofcorporateprofitdistributionandanimportantlinkincorporatefinancialactivities.Whetheradividendpolicyissuitableforthecompanywillhaveanimpactonthelong-termdevelopmentoftheenterpriseandtheshareholdersrequirementsforreturnoninvestment.Atthesametime,italsorelatestothehealthygrowthofChinascapitalmarket.Forthedistributionofdividends,ontheonehand,itislinkedtothecurrentinterestsofthecompanyscreditors,ontheotherhand,itdeterminesthecompanysfuturedevelopmenttoacertainextent.Inthiscase,itisparticularlyimportanttochooseadividendpolicythatisconsistentwiththecompanysdevelopment.DuetothelatestartofChinasmarketeconomy,thediversificationoftheeconomicsystem,andtheinadequacyoflawsandregulations,therearestilldeficienciesintheformulationofChinaslistedcompanydividendpoliciesthatneedtoberesolved.Therefore,afteranalyzingtheproblemsofthedividendpolicyoflistedcompaniesinmanyways,itisofgreatsignificancetothelong-termhealthydevelopmentofChinascapitalmarket.
