摘 要 本论文通过对深圳市凯利升第三方物流有限公司在产权及经营管理体制方面进行一系列改革的背景、战略构想、运作过程、主要措施、初步成效等进行分析，总结出产权制度改革是国有企业改革的前提和基础，政府改革是企业改革成功的关键，本土化的管理革命是国有企业改革的核心内容。文章结合第三方物流的行业情况、发展趋势、市场前景、区域竞争态势等，对凯利升公司近一年来改革的特色、效果、得失进行了评价和分析，指出产权及经营管理体制改革仅仅只是国企改革的第一步。 文章首先对凯利升公司的历史沿革及现实问题进行分析，并对问题的成因进行了探讨。在此基础上，通过对宏观政策环境、行业发展概况、市场前景、内部资源等进行分析，提出了在凯利升公司进行全面改革的必要性和可行性。 接着，文章对改革的战略构想进行了论述。指出，以内部员工持股制度改革为契机，通过推行劳动用工、人事管理、收入分配等配套制度改革，转换公司经营管理机制、转变经营战略，进行全面管理革命，是进行系统改革的正确方向。 随后，通过对改革运作过程、具体措施以及改革初步成效的深刻分析，得出了产权及经营管理体制改革是基础、科学的管理是核心的结论，并指出产权及经营管理体制改革只是凯利升公司改革的开端。 关键词：经营管理体制 内部员工持股 第三方物流 改革 Abstract This thesis examines ownership and management system reform in Shenzhen Carry-sun Public Logistics Ltd. Co. Combining with the industry status, development trend, market prospect and region competition situation of public logistics, the thesis analyses the characteristics, effect, success and failure of the reform in the Carry-sun ltd. last year. Firstly, the thesis analyses the history evolution, reality problems and cause of problems in Shenzhen Carry-sun Public Logistics Ltd. Co. Then it analyses the macro policy environment, industry development status, market prospect and internal resource, and states the requirement and feasibility of reform in Shenzhen Carry-sun Public Logistics Ltd. Co. Secondly, this thesis discusses the strategy of the reform. It shows that the right approach of this reform in the company is to reform its employ policy, personnel evaluation and salary system on the basis of ESOP. Thirdly, based on the process and the successful results in Shenzhen Carry-sun Public Logistics Ltd. Co, the thesis argues that ownership and management reform is the base of the reform, that modern managerial approach is the core of the reform and that ownership and management reform is the first step of the reform in Carry-sun Public Logistics Ltd.
