保密协议

ThisConfidentialityAgreement(the“Agreement”)ismadeandenteredintobyandbetweenthepartieslistedbelowonthedateindicated.ThepurposeofthisAgreementistoprotecttheconfidentialityofcertaininformationthatmaybedisclosedbyeitherpartytotheotherduringthecourseoftheirrelationship.

保密协议（以下简称“本协议”）由以下双方于指定日期签署。本协议的目的是保护特定信息的机密性，该等信息可能在一方与另一方的关系过程中被披露。

“接收方”指本协议下接收保密信息的一方；“披露方”指本协议下披露保密信息的一方；“保密信息”指任何与双方关系有关的任何信息，包括但不限于与双方业务、技术、财务、人员、计划、政策、合同、交易、客户、供应商或员工有关的任何信息。

1.保密义务：接收方确认保密信息是披露方的机密财产，并同意将保密信息视为机密，不向任何第三方披露或用于本协议以外的任何目的。接收方还同意采取一切合理预防措施保护保密信息的机密性，并确保未经授权的人员无法访问该等信息。

2.保密例外：如果保密信息的披露是：（i）法律或法规要求；（ii）本协议下接收方的职责所需；（iii）事先得到披露方的书面同意，则接收方可以披露保密信息。此外，接收方可以向其员工、承包商或代理人披露保密信息，但仅限于该等信息对于履行其职责是必要的，并且该等员工、承包商或代理人已签订保密义务，不低于本协议中规定的严格程度。

3.TerminationofAgreement:OnterminationofthisAgreement,theRecipientagreestoimmediatelyreturntotheDisclosingPartyallConfidentialInformationandallcopiesthereof,andtodestroyallnotes,records,tapesorothermaterialscontaininganyConfidentialInformation,excepttotheextentthatsuchmaterialsarerequiredtoberetainedbylaworregulation.

3.协议终止：本协议终止时，接收方同意立即将全部保密信息及所有副本返还给披露方，并销毁所有包含任何保密信息的笔记、记录、磁带或其他材料，但法律或法规要求保留的除外。

4.GeneralProvisions:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheplacewheretheDisclosingPartyislocated.ThepartiesagreethatanydisputearisingoutoforinconnectionwiththisAgreementshallbesettledbyfriendlynegotiationfirst,andifsuchnegotiationfails,byarbitrationinaccordancewiththearbitrationrulesoftheplacewheretheDisclosingPartyislocated,andsucharbitrationshallbefinalandbindingonbothparties.

4.一般规定：本协议应受披露方法律管辖，并按照披露方法律解释。双方同意，任何因本协议引起或与本协议有关的争议应首先通过友好协商解决，如果协商不成，则按照披露方法律规定的仲裁规则进行仲裁，该等仲裁应是最终的和对双方有约束力的。
