MultilateralEnglishVersion

THISNON-DISCLOSUREAGREEMENT(theAgreement)ismadeandeffectiveasofthedateofthelastsignatorytothisAgreement(theEffectiveDate).ThepartiestothisAgreement(theParties)arethefollowing:

1.ABCCorporation(ABC),acompanyincorporatedunderthelawsoftheUnitedStatesofAmerica,withitsprincipalplaceofbusinessat[address].

2.XYZCorporation(XYZ),acompanyincorporatedunderthelawsoftheUnitedKingdom,withitsprincipalplaceofbusinessat[address].

3.DEFCorporation(DEF),acompanyincorporatedunderthelawsofJapan,withitsprincipalplaceofbusinessat[address].

ThePartiesherebyagreeasfollows:

1.Definitions

1.1ConfidentialInformationmeansanyinformationthatisdisclosedbyonePartytoanotherPartyinconnectionwiththeperformanceofthisAgreement,includingwithoutlimitationanytechnical,financial,business,orlegalinformation.

1.2DisclosingPartymeansthePartydisclosingtheConfidentialInformation.

1.3ReceivingPartymeansthePartyreceivingtheConfidentialInformation.

2.ConfidentialityObligations

2.1TheReceivingPartyshallkeeptheConfidentialInformationconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheDisclosingParty,exceptasotherwiseprovidedinthisAgreement.

2.2TheReceivingPartyshalltakereasonablemeasurestoprotecttheconfidentialityoftheConfidentialInformationandensurethatitisnotmisusedordisclosedinviolationofthisAgreement.

2.3ThePartiesagreethattheconfidentialityobligationssetforthinthisSection2shallsurvivetheterminationofthisAgreementforaperiodofthree(3)yearsfollowingtheEffectiveDate.

3.ExceptionstoConfidentiality

3.1TheconfidentialityobligationssetforthinSection2shallnotapplytoanyinformationthat:

3.1.1is
