毕业论文 （2010届） 我国中小板上市公司股权激励现状分析 摘 要 近年来，随着中小企业在我国的迅速发展，越来越多的中小公司开始在深圳中小企业板上市。作为解决企业委托——代理问题的重要途径，股权激励走进了这些中小上市公司的视野并开始普遍实施。本文选取了实施股权激励制度的深圳中小企业板上市公司作为研究对象，通过对目前中小企业上市公司股权激励现状进行分析，从而了解当前中小企业股权激励机制现状及存在问题。本文研究表明我国上市公司股权激励存在以下问题：我国中小企业板市场有效性低，股权激励效果弱化公司治理结构不健全高管辞职套现，股权激励效果短期化职业经理人员市场不成熟，股权激励难以发挥作用关键词：Abstract In recent years, with the rapid development of small and medium-sized enterprises in our country, more and more small and medium companies are listed on the Shenzhen small and medium-sized enterprises board. As the solution to enterprise entrusts the important way that the problem of agency, equity incentives walked into these small and medium-sized listed company vision and starts to implement. In this paper, we select the implementation of equity incentive system, the shenzhen smes board listed companies as the research object, by listed companies to small and medium-sized enterprises at present are analyzed, and the stock ownership incentive to understand current equity incentive mechanism of small and medium-sized enterprises present situation and the existing problems. This study shows that our listed company equity incentives exist in the following problems: the small and medium-sized enterprises board market efficiency is low, the stock ownership incentive weakening effects; Corporate governance structure is perfect; Executives quit taking equity incentive effect, a lot; Professional managers market is not mature, equity incentives to play a role. This paper will put forward relevant countermeasures aiming at the above problems for our country in the future, the implementation of equity incentive system, promotion and further improve to provide the theory basis and the empirical evidence.
