I.INTRODUCTION

II.APPOINTMENT

III.DUTIESANDOBLIGATIONSOFAGENT

1.TheAgentshallendeavortopromotethesaleofthePrincipalsproductsintheterritoryandtoobtainordersforthesame.TheAgentshallalsoendeavortoexpandthemarketforsuchproductsandtodevelopnewcustomers.

2.TheAgentshallprovidethePrincipalwithmarketintelligenceandfeedbackonaregularbasiswhichshallincludebutnotbelimitedtomarkettrends,potentialnewcustomers,andfeedbackfromexistingcustomers.

3.TheAgentshallkeepthePrincipalfullyinformedofitsactivitiesunderthisContractandshallprovidethePrincipalwithallnecessaryassistanceandsupportinconnectionwiththepromotionandsaleofitsproducts.

4.TheAgentshallnotengageinanyactivitywhichmaybedetrimentaltotheinterestofthePrincipalorwhichmayaffectitsreputationorgoodwill.TheAgentshallalsonotdiscloseanyconfidentialinformationwhichitmayacquireduringthecourseofitsdutiesunderthisContract.

IV.COMMISSION

TheAgentshallbeentitledtoacommissiononeachorderforthePrincipalsproductswhichisobtainedbytheAgentinaccordancewiththetermsofthisContract.Therateofcommissionshallbe[InsertRateofCommission]%.TheAgentshallalsobeentitledtoanyotherbenefi
