盈余管理应用研究—以张裕集团为例.doc

摘 要 盈余管理一直是会计学术界的一个重要的研究课题，经过多年对盈余管理的研究，人们对盈余管理有了更加清晰的认识和了解，因此，也更加理性的看待盈余管理，盈余管理不同于盈余造假，前者是企业管理层为了实现自身利益的最大化，在遵守会计准则的前提调价下对企业会计信息所做的调整。这种行为或许会给企业的经营方面带来影响，但却是完全是符合法律法规的，然而，盈余造假则完全是一种违法的行为。所以，两者有着本质的区别。盈余管理在过去更多的是根据会计政策法规中的漏洞采取相应的措施，选择有利于企业的盈余管理方式，但是随着宏观经济环境的变化，会计法律法规的不断修订和完善，产生盈余管理的动机与手段也开始越来越多种多样。因此，我们有必要根据时间和环境的变化，对盈余管理做出相应的研究。 本文首先对国内外学者就盈余管理的定义及演进、盈余管理的特征、盈余管理的动机、产生盈余管理的条件以及盈余管理的方式进行了归纳和总结。其次，对在股权分置改革过程中上市公司的盈余管理方式进行总结和分析，并采用案例分析的方式，详细分析了张裕A的股改方案，对价方案，业绩承诺，盈余管理的方式、动机、影响。最后，总结了从上述分析中得到启示和对上市公司进行盈余管理行为的一些认识。 本文对张裕集团在股权分置改革前后的盈余管理进行了详细的研究，并对盈余管理所产生的影响进行了深入的分析，本文希望证券分析师和广大投资者在对企业价值进行评估，或对企业的财务状况进行预测时，能够更加理性而全面的进行分析；希望相关的监管部门能够对盈余管理的实施起到一定的制约作用，使得盈余管理不被滥用而损害到中小股东的利益，更多的发挥出盈余管理的积极影响。 关键词：盈余管理；股权分置改革；张裕集团  Zhang Yu A Study of Equity Earnings Management Before And After the Merger Reform ABSTRACT Earnings management has been an important research topic in accounting academia, after years of research on earnings management, earnings management people have a more clear understanding and knowledge and, therefore, more rational view of earnings management, earnings management is different from the surplus fraud, the former is corporate management in order to maximize their own interests, in the context of compliance with accounting standards adjusted price adjustment made ??to the accounting information.
