毕业论文 （20_ _届） 上市公司年报补丁现象分析 摘 要 信息披露是上市公司与投资者沟通的重要途径。近年来，随着证券市场的不断发展，其中的问题也不断的显露出来，上市公司信息披露不规范，年报屡屡打补丁就是问题之一。通过对金融危机发生后第一年——2009年所发布的年报补充更正公告的进行具体统计来对这一现象进行研究分析。 文章分为五部分：第一部分是对于年报补丁相关理论研究，主要介绍了至今为止的国内外对于年报补丁的动因、特征、市场反应的研究现状；第二部分是对2009年在沪A股上市公司年报补充更正公告信息的搜集、概括、整理，并做出相关原始的统计表；第三部分是根据第二部分所得到的年报补充更正公告按照不同的方式进行分类，并对各种分类进行分析再进行现象总结；第四部分是并探索上市公司发布年报补充更正公告的原因；第五部份提出有效的建议。 关键词：Abstract The disclosure of information is an important way to communicate with the listed companies and the investors. In recent years, along with the continuous development of the securities market, the problem is constantly exposed. The disclosure of information of listed companies is not the standard, annuals hit patch frequently is one of the problem. Through the statistics of the annual patch of the 2009 annual report, we research an analysis this phenomenon. The article is divided into four parts: The first part is the relevant research of annual patch theories; it mainly introduces the current research of annual patch of causes, characteristics and market reaction. The second part is to collect and to statistics the information of annals correction notices of 2009 in shanghai A-share listed companies. The third part is to classify the annual patch in different way and analysis of various classifications and summary the phenomenon. The forth part is to find out the reasons. The fifth part is to put forward some effective suggestions.
