基于利益相关者视角的公司治理模式选择研究——以淮北矿业集团为例的中期报告 摘要： 本文以淮北矿业集团为例，基于利益相关者视角，研究了公司治理模式选择的影响因素及其对公司绩效的影响。研究发现，淮北矿业集团现行的董事会治理模式实现了职权分离，但参与度较低，未能充分发挥监督作用；股东会治理模式中股东代表权利显著，但对于非大股东的代表参与度较低，制约了治理效果。基于以上发现，本文提出了公司治理模式选择应考虑利益相关者的权力、参与度、利益诉求等因素。同时，应针对现存问题，有效加强市场监管，提高公司治理质量，促进企业发展与社会效益的统一。 关键词：利益相关者、公司治理、治理模式、职权分离、参与度、监督作用、利益诉求、市场监管、企业发展、社会效益 Abstract： This paper takes HuaiBei Mining Group as an example, based on the perspective of stakeholders, studies the influencing factors of the choice of corporate governance mode and its impact on company performance. The study found that the current board governance model of HuaiBei Mining Group has achieved power separation, but its participation is low and it has not fully exerted its supervisory role; the shareholder governance model has significantly increased the rights of shareholder representatives, but the participation of non-major shareholder representatives is low, which limits the governance effect. Based on the above findings, this paper proposes that the choice of corporate governance models should consider factors such as the power, participation, and interests of stakeholders. At the same time, effective strengthening of market supervision should be carried out to improve the quality of corporate governance, and promote the unity of enterprise development and social benefits.
