PARTIES

2. __________________________________________ (the Producer)
BACKGROUND
The Author has written and/or created the Work.
The Producer wishes:
to obtain an exclusive option over certain specified rights to the Work; and
if it chooses, to exercise the Option; and
to be entitled to develop the Work to the extent necessary to enable it to apply to funding bodies for funding of a production version of the Work; and
to be entitled to so apply to funding bodies.
The Author has agreed to grant the Producer such rights subject to the terms and conditions set out in this Agreement.
THE PARTIES AGREE AS FOLLOWS
DEFINITIONS and interpretation
Definitions: In this Agreement the following terms shall have the meanings specified:
Development Work means the preparation of such storylines, scenarios, scripts, screenplays, presentations, treatments and other adaptations of the Work as are reasonably necessary in order to produce the Revised Work and may extend to adding, deleting or otherwise altering the title, characters, plots, theme, dialogue, sequences, situations, or storyline of the Work. Initial Fee means the fee payable in consideration for the Option as set out in part 2 of the Schedule. Initial Period means the period set out in part 3 of
