This paper mainly adopts research methods: literature research, data collection method. Firstly, analyzing current situation of small and medium-sized enterprise mergers and acquisitions in China; secondly, to potential financial risk in our country small and medium-sized enterprise MA were studied, mainly analyzes the before, middle and late of the potential financial risks; then analyzing the causes of financial risk in detail; finally, there are some measures to prevent against the financial risks, therefore, by reducing the financial risks to promote the development of small and medium-sized enterprises, nice and fast.
