我国上市公司内部控制信息披露现状及改进—文献综述及研究成果【摘要】本文对国内外内部控制信息披露的有关文献进行了整理,发现国外主要从内部控制信息披露与公司状况之间的关系、内部控制实质性缺陷与盈余质量的关系、内部控制信息披露成本效益分析、审计师对内部控制的审核报告等方面进行了研究;国内主要从上市公司内部控制信息披露现状分析研究、内部控制信息披露与股票价格之间的关系研究、关于上市公司内部控制评价的研究、国内外研究述评及未来研究展望。我国今后需要从内部控制信息披露的格式和内容规范、影响因素、内部控制信息披露的重要性和内部控制评价体系等方面做深入研究。关键词: 内部控制 信息披露 文献综述 上市公司【Abstract】 In this paper, the literature on the internal control disclosure of information at home and abroad were finishing, found abroad, mainly from the internal control information disclosure and corporate status of the relationship between the substantive relationship between earnings quality defects and internal control, internal control information disclosure costs benefit analysis, auditors report to audit internal control aspects were studied; domestic main internal control information disclosure of listed companies from the current situation analysis, study the relationship between stock prices and information disclosure of internal control, internal control of listed companies on the evaluation research, study abroad Commentary and research prospects. Our internal controls in the future need to standardize the format and content of information disclosure, influencing factors, the importance of internal controls and internal control evaluation system of information disclosure has done in-depth study。Keywords: literature review of internal control information disclosure of listed companies一、背景自2001年“安然事件”曝光以来,美国相继曝出环球通讯、世界通信、施乐、默克制药等国际性上市公司会计造假丑闻,充分暴露了内部控制信息披露形同虚设等问题。于是美国在2002年签署了《萨班斯—奥科斯》法案，把内部控制信息披露纳入了强势披露的范畴。在我国,中信泰富衍生金融产品投资巨额亏损等事件的发生在打击投资者信心的同时也暴露了内部控制缺失所带来的危害以及我国公司治理环境中内部控制环节的薄弱。因此,内部控制信息披露研究越来越成为人们关注的热点。内部控制信息披露经过多年的发展,其理论和实践都取得较大的成果。二、国外内部控制信息披露研究的文献综述（一）内部控制信息披露与公司状况之间的关系McMullen, Dorothy和Raghunanda①(1996)通过对1989-1993年间公司内部控制信息披露情况的实证研究表明,在选取的公司样本中,平均有26.5%的公司提供内部控制报告,对有财务问题的公司来说,这个比例更低,仅为10.5%,而对小公司而言,内部控制报告与财务报告问题的相关性就更为明显了,因此他们得出结论:财务报告有问题的公司不太可能提供内部控制报告。Ge和McVay(2005)②通过统计分析发现上市公司披露的内部控制实质性缺陷与公司经营的复杂性正相关,但和公司规模、盈利能力负相关。Doyle, Ge和McVay(2006)③选取2002年8月至20
