ThisHotelMasterManagementAgreement(theAgreement)ismadeandenteredintoasof[date]byandbetween:

##2.Recitals

-TheOwnerownsthehotelpropertylocatedat[hoteladdress](theHotel).

-TheManagementCompanyisengagedinthebusinessofhotelmanagementandhasextensiveexperience,expertise,andresourcesinoperatinghotels.

-TheOwnerdesirestoengagetheManagementCompanytomanagetheHotelinaccordancewiththetermsandconditionsofthisAgreement.

##3.AppointmentofManagementCompany

-TheOwnerherebyappointstheManagementCompanyastheexclusivemanageroftheHotel,andtheManagementCompanyherebyacceptssuchappointment,forthetermandsubjecttotheconditionssetforthinthisAgreement.

-TheManagementCompanyshallhavetheexclusiverightandauthoritytomanagetheoperationsoftheHotel,includingbutnotlimitedtofrontofficeoperations,housekeeping,foodandbeverageservices,salesandmarketing,andallotheraspectsofhotelmanagement.

##4.TermofAgreement

-ThetermofthisAgreement(theTerm)shallmenceonmencementdate]andshallcontinueforaperiodof[numberofyears]years,unlessearlierterminatedinaccordancewiththeprovisionsofthisAgreement.
