LETTER OF INTENT THIS LETTER OF INTENT ( “LOI ”is) made on this [ ] day of [ ] by and between the SHAREHOLDER OF THE STATE-OWNED ENTERPRISE , a company limited by liability established under the laws of China with its legal address at [ ] ( “Transferor the”),STATE- OWNED ENTERPRISE , a state-owned legal entity established under the laws of China with its legal address at [ ] ( “THETARGET COMPANY”) and ABC , a company limited by liability established under the laws of [the location where it was founded] with its legal address at [ ] ( “ABC” ). WHEREAS: A. The parties have concluded the preliminary discussions on the transfer by the Transferor of its 80% ownership interest in the Target Company to ABC and the conversion of the Target Company from a state-owned enterprise into a Chinese-foreign equity joint venture between the Transferor and ABC; and B. The parties now desire to begin the preparation of a joint feasibility study and the negotiations of the transfer agreement, the joint venture contract, the articles of association and other related contracts or agreements for the ownership transfer and the establishment of the joint venture. NOW THEREFORE the parties wish to set out below their mutual intention and understanding reached so far regarding such ownership transfer and joint venture to serve as a basis for the preparation of the joint feasibility study report and the negotiations of the transfer agreement, the joint venture contract, the articles of association and other related agreements or contracts. 1.
