股份合作制企业立法问题研究.pdf

内容提要 股份合作制企业作为一种具有中国特色的企业组织形式已在我国城乡企业 中普遍存在。与股份合作制企业迅猛发展的现实不相吻合的是,我国股份合作企 业立法严重滞后,这不仅使股份合作制企业的设立无法律上的依据,而且更为 严重的是影响了股份合作制企业的健康发展。本文针对我国股份合作制企业立 法上的不足和缺陷,结合各地股份合作制企业发展的实践,论述了股份合作制 的基本理论、立法现状、立法价值等,对股份合作制企业的立法原则、立法体例 以及企业设立、股权设置与管理、企业治理结构、盈利分配、企业与政府关系 等问题提出了一些个人探索性观点。目的在于进一步深化股份合作制理论研究, 推动全国统一的股份合作企业法早日出台,以促进股份合作制企业的健康、规 范发展。 关键词:股份合作制企业 现代企业制度 立法 ABSTRACT The share--holding system enterprises are very popularly--existed in the urban and rural enterprises in our country as a china--characteristic enterprising organization form. The fact that does not meet the booming development of the share--holding system enterprises is that the legislation promblem is stagnant seriously. It can not only offer the legal proofs for the establishment of the share--holding system enterprises but also, it influences the wholesome development of the share--holding system enterprises seriously. This article makes a great statement about the legislation principles, the legislation stylistic rules and layout and the establishment of the enterprises, the equity share arrangement and management, the enterprises management construction, the profit allocation and the relationship between the enterprises and the government ect. to put forward some persond and probing viewpoints according to the legislation defaults of the national share--holding enterprises system and combining with the practice of the share--holding enterpises development of all parts.
