unaffectedbythebacklashagainstcorporatescandals.Forexample
despiteagrowingfeelingthatformerchiefexecutivesshouldnot
sitontheircompanysboardthepercentageofAmericanfirmswhere
theydohasactuallyedgedupfrom23%in2003to25%in2004.

andchiefexecutive.AnothersurveyofAmericanboardspublished
thisweekbyA.T.Kearneyafirmofconsultantsfoundthatin
200214%oftheboardsofSstaggeredboardsareentrenchedintheir
corporatecharterswhichcannotbeamendedbyashareholdersvote.
Anyonewhoexpectedthescandalsof2001tobringaboutrapidchange
inthebalanceofpowerbetweenmanagersandownerswasatbest
naive.
