TECHNICALSERVICEAGREEMENT

ThisTechnicalServiceAgreement(Agreement)ismadeandenteredintoon[InsertDate]byandbetween[InsertCompanyName],acorporationorganizedandexistingunderthelawsof[InsertCountry],withitsprincipalplaceofbusinessat[InsertAddress](Company)and[InsertClientName],[InsertTypeofClient],organizedunderthelawsof[InsertCountry],withitsprincipalplaceofbusinessat[InsertAddress](Client).

WHEREAS,Companypossessescertainexpertisein[InsertDescriptionofExpertise];

WHEREAS,ClientdesirestoengageCompanytoprovidecertaintechnicalservices;

NOW,THEREFORE,inconsiderationofthepremisesandmutualcovenantshereincontained,thepartiesagreeasfollows:

1.ScopeofServices

CompanyshallprovidetoClientthetechnicalservicesdescribedinExhibitAattachedhereto.Companyshallperformtheseservicesusingthedegreeofskill,care,anddiligencenormallyexercisedbyprofessionalpractitionersinsimilarcircumstances.

2.Payment

ClientshallpayCompanythefeesasdescribedinExhibitBattachedhereto.CompanywillinvoiceClientona[InsertSchedule]basisstarting[InsertDate]andClientshallpayCompanywithin[InsertPaymentTerm]daysofreceiptofeachinvoice.IfClientfailstomakeanypaymentsdueunderthisAgreement,CompanyshallbeentitledtosuspendperformanceoftheservicesunderthisAgreementuntilalloutstandingpaymentsarereceived.

3.OwnershipofIntellectualProperty

AnyandallintellectualpropertyrightsinanydeliverablescreatedbyCompanyinthecourseofprovidingservicesunderthisAgreement,including,withoutlimitation,patentedinventions,patentapplications,know-how,copyrightsandtrademarks,andallrightsofrenewalandextensionthereof,shallbeownedexclusivelybyCompany.ClientshallnotuseanysuchintellectualpropertywithoutCompanyspriorwrittenapproval.
