理论的医药公司财务舞弊防范与治理研究以康美药业为例.docx

摘要

随着我国经济的不断发展，资本市场日趋成熟，但公司财务舞弊事件不断增加，根据证监会公告自2020至2021年来，已经处置59起上市公司财务造假等违法行为。这些上市公司的财务舞弊不仅危害各行业的健康发展，而且还会扰乱资本市场的资源配置和损害中小投资者的合法权益。医药行业关系着人民的健康安全，所以医药行业的健康发展至关重要，但是作为中医药行业的龙头，康美药业竟然财务造假金额接近300亿，让人始料未及。康美药业财务舞弊事件也将医药行业推上了风口浪尖。因此对于医药行业财务舞弊动机、手段以及防范与治理的研究就显得格外重要。

本文主要以具有代表性的康美药业为具体案例，通过文献研究法、案例分析法结合GONE理论对医药公司的财务舞弊行为进行研究，揭露医药公司财务舞弊动机、手段，并提出减少贪婪产生、切断舞弊机会、摒弃不良需要、增加暴露风险的防范与治理措施。促使医药行业健康发展，促进资本市场平稳健康运行。

Abstract

WiththecontinuousdevelopmentofChinaseconomy,thecapitalmarketisbecomingmoreandmoremature,butthecompanysfinancialfraudincidentsareincreasing,accordingtotheCSRCannouncementto2020,hasdealtwith59listedcompaniesfinancialfraudandotherillegalacts.Thefinancialfraudoftheselistedcompaniesnotonlyharmsthehealthydevelopmentofvariousindustries,butalsodisturbstheallocationofresourcesinthecapitalmarketanddamagesthelegitimaterightsandinterestsofsmallandmediuminvestors.Thepharmaceuticalindustryisrelatedtothehealthandsafetyofthepeople,sothehealthydevelopmentofthepharmaceuticalindustryiscrucial.However,astheleaderofthetraditionalChinesemedicineindustry,KangmeiPharmaceuticalindustryhascommittedfinancialfraudamountingtonearly30billionyuan,whichisunexpected.Kangmeipharmaceuticalfinancialfraudincidentalsopushedthepharmaceuticalindustryintothecenterofthestorm.Therefore,itisparticularlyimportanttostudythemotivation,means,preventionandgovernanceoffinancialfraudinthepharmaceuticalindustry.
